metavers GmbH – General Terms and Conditions

1. General

These General Terms and Conditions apply exclusively to all business transactions between the client and metavers GmbH. Conflicting terms and conditions of the client shall only be effective if expressly acknowledged in writing by metavers. Agreements deviating from or supplementing these Terms require written form. Should individual provisions of these Terms be invalid, this shall not affect the validity of the remaining provisions.

2. Conclusion of Contract

Offers by metavers are non-binding. Orders from the client are only deemed accepted upon written order confirmation by metavers, unless metavers indicates acceptance of the order by commencing work.

3. Services and Fees

Unless otherwise agreed, the fee entitlement of metavers for each individual service begins as soon as the service has been rendered. metavers is entitled to request advance payments to cover expenses. All services not expressly covered by the concluded order must be separately agreed upon and remunerated. Cost estimates by metavers are generally non-binding. If actual costs are expected to exceed the written estimate by more than 20 percent, metavers will notify the client in writing.

4. Presentations

For presentations requested by the client, metavers is entitled to a reasonable fee covering at least the full personnel, material, and third-party expenses. If metavers does not receive an order following the presentation, all deliverables, particularly presentation materials and their content, remain the property of metavers.

5. Ownership and Copyright

All deliverables by metavers, including those from presentations, remain the property of metavers and may be reclaimed at any time. By paying the fee, the client acquires only the right to use the deliverables for the agreed purpose and scope. Copyrights to deliverables produced by metavers are non-transferable and remain with metavers in all cases.

6. Attribution

metavers is entitled to reference itself and, where applicable, the creator on all advertising materials and in all campaigns, without the client being entitled to compensation.

7. Approval

All deliverables by metavers must be reviewed by the client and approved in writing within three days. If approval is not given in time, the deliverables presented by metavers shall be deemed approved by the client.

8. Deadlines

metavers endeavours to meet agreed deadlines. Non-compliance with deadlines only entitles the client to exercise statutory rights after granting metavers a grace period of at least 14 days.

9. Payment and Retention of Title

Invoices from metavers are due promptly and without deduction from the invoice date, unless otherwise agreed. Statutory default interest applies to late payments. Delivered goods remain the property of metavers until full payment is received.

10. Warranty and Liability

metavers warrants that the deliverable is in accordance with the contract and free from defects. The client must report any defects in writing within five working days of service delivery. Claims for damages by the client are excluded unless based on intent or gross negligence by metavers.

11. Liability

To the extent permitted by law, the agency is only liable for intent and gross negligence.

12. Applicable Law

The legal relationship between the client and metavers is governed exclusively by German law.

13. Place of Performance and Jurisdiction

The exclusive place of jurisdiction for all disputes between the parties arising from or in connection with a contract concluded between them is — to the extent legally permissible — the registered office of metavers.
